These terms cover two things: using this website, and engaging PT DeityLabs Indonesia ("DeityLabs", "we") to deliver an audit, a build, or an AgentOps retainer. Where a signed quote or statement of work says something different from these terms, the signed document wins for that engagement.
We have written these in plain English on purpose. They are still a contract.
1. Using this website
1.1 The content on deitylabs.ai — guides, glossary, case studies, industry pages, calculators — is provided for general information. It is not legal, financial, engineering or compliance advice.
1.2 The ROI calculator produces an estimate from the numbers you enter. It is a scoping tool, not a guarantee of savings.
1.3 The live demos are illustrative agents. They are not connected to your systems and their outputs should not be relied on.
1.4 Everything on this site (text, design, code, recordings) is owned by DeityLabs or its licensors. You may quote short excerpts with attribution and a link. You may not scrape, republish or use the content to train models without written permission.
1.5 Our handling of your personal data is set out in the Privacy policy.
2. The three ways we engage
| The Audit | The Build | AgentOps retainer | |
|---|---|---|---|
| What you get | A ranked map of every workflow worth automating, with projected hours saved and a fixed build estimate for each | One or more working agents deployed in your infrastructure, validated in shadow mode | Ongoing monitoring, evaluations, model upgrades and fixes for agents in production |
| Duration | 5 working days | Fixed per quote, typically 4–8 weeks | Monthly, rolling |
| Price | USD 5,000, fixed | Fixed price per quote | Fixed monthly fee per quote |
| Can you stop? | You can decline to proceed after the deliverable. Fee is non-refundable once work starts | At any weekly demo — see 5.3 | On 30 days' written notice — see 9.2 |
An engagement starts when you accept a quote in writing (email is fine) or pay the audit fee, whichever is first.
3. Scope of engagement
3.1 The audit is scoped to the business units and workflows you nominate at booking. We interview the people you make available, review the documents you share, and deliver the map on the fifth working day, provided you have given us access by the end of the first day. Days lost to access delays are added to the timeline.
3.2 The build is scoped to the workflows, integrations and acceptance criteria written in the quote. The quote is fixed price. We do not bill for hours, and we do not vary the price because a task took longer than we expected.
3.3 Scope changes. If you want something that is not in the quote, tell us. We will give you a fixed price and timeline impact for the change within two working days. Nothing changes until you accept in writing. We will never quietly absorb scope and then invoice you for it, and we will never quietly drop scope to hit a date.
3.4 Assumptions. Each quote lists the assumptions it depends on — API availability in your systems, data quality, access to a decision-maker. If an assumption turns out to be wrong, we tell you as soon as we know, with options and their cost. You choose.
3.5 Retainer scope is defined in the retainer quote: which agents are covered, the response times for incidents, the evaluation cadence, and what counts as a fix versus a new feature. New features are quoted as small builds.
4. How we work
4.1 A working demo every Friday. During a build you see the agent do something real each week. This is the primary control you have over the engagement: if the Friday demo does not show progress, you can stop (5.3).
4.2 Senior engineers only. The people who scope your work build your work. We do not hand off to juniors after the sale. If a named engineer becomes unavailable we replace them with someone of equivalent seniority and tell you.
4.3 Shadow mode before live. Every agent runs alongside your team, logging what it would have done without doing it, until you are satisfied. We recommend a minimum of two weeks. Moving an agent from shadow mode to live is your decision and your written sign-off. We will advise, and we will refuse to go live if we believe the agent is unsafe, but the call is yours.
4.4 Your accounts, your data. Agents are deployed into cloud, model-provider and telephony accounts that you own and pay for directly, unless the quote says otherwise. You grant us the access we need to do the work and can revoke it at any time.
5. Fees and payment
5.1 The audit fee is invoiced on booking and payable before work starts. It is not refundable once the first working day begins. If you proceed to a build within 90 days of receiving the deliverable, the full audit fee is credited against the first build invoice.
5.2 Build fees are invoiced as follows unless the quote says otherwise: 40% on acceptance of the quote, 40% at the start of shadow mode, and 20% on go-live sign-off.
5.3 Stopping a build. You may stop a build at any weekly demo by telling us in writing before the next working day. You pay for the weeks completed, pro-rated against the fixed price, and we hand over everything built to date under section 6. Any unearned portion of a payment already made is refunded within 14 days.
5.4 Retainer fees are invoiced monthly in advance and are payable on the first working day of each month.
5.5 Payment terms are 14 days from invoice date by bank transfer. Overdue amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. If an invoice is more than 30 days overdue we may pause work and, for retainers, pause monitoring, after giving you 7 days' written notice.
5.6 Taxes. Fees exclude VAT (PPN) and any other applicable taxes, which are added to the invoice where required. If you are required by law to withhold tax from a payment, you gross up the payment so we receive the invoiced amount, or provide us with a valid withholding certificate, as agreed in the quote.
5.7 Currency. Fees are quoted and payable in US dollars unless the quote states otherwise. For clients incorporated in Indonesia, invoices may be issued in Rupiah at the Bank Indonesia reference rate on the invoice date where required by Law 7/2011 on Currency.
5.8 Third-party costs — model inference, telephony minutes, cloud hosting — are paid by you directly to the provider through your own accounts. We estimate them in the quote and are not responsible for the providers' pricing.
6. Ownership
6.1 You own the result. On payment of the fees due for the work delivered, you own: the cloud and provider accounts, the data at every stage, the source code repository, the prompts and configuration, the evaluation suite, the deployment scripts and the documentation for your agents. You have the right to end the engagement and keep the system running, with us or with anyone else.
6.2 We keep our tooling. We retain ownership of the frameworks, libraries, templates, internal tools and know-how we bring to every engagement and that existed before yours or were developed independently of it. To the extent any of it is embedded in your deliverables, we grant you a perpetual, irrevocable, royalty-free licence to use, modify and have others modify it for your business. We will not use that licence as leverage.
6.3 Open source. Deliverables may include open-source components under their own licences. We list them in the documentation. Nothing we deliver will be licensed under terms that require you to publish your own code.
6.4 Your materials stay yours. You grant us a licence to use them only to deliver the engagement.
6.5 Case studies. We may describe the work in anonymised form (industry, workflow, outcome) without naming you. We will name you, or quote you, only with your written permission, which you can withdraw at any time.
7. Your responsibilities
7.1 Provide the access, documents and people the quote assumes, on time. Every day of delay on your side extends the timeline by a day and may affect a fixed date.
7.2 Nominate one decision-maker who can accept demos, approve scope changes and sign off on go-live.
7.3 Ensure you have the legal right to give us access to the data and systems involved, and that any personal data in them is collected and processed lawfully under the PDP Law and any other law that applies to you.
7.4 Provide the notices your customers and staff are entitled to — including call-recording announcements for voice agents and information about automated processing.
7.5 Keep a human accountable for the agent's domain. See section 8.
7.6 Not use the deliverables for anything unlawful, or to make decisions about individuals that the law reserves for humans.
8. What an agent is, and is not
8.1 Agents are probabilistic. They are built on large language models that can be wrong, in ways that are sometimes hard to predict. We reduce that risk with evaluation suites, confidence thresholds, escalation paths, audit logs and shadow mode. We cannot eliminate it, and we do not promise an agent will be correct every time.
8.2 Professional accountability stays with you. An agent does not hold a licence, a professional registration or a statutory duty. Where the agent works in a regulated domain — engineering sign-off, permit-to-work, safety-critical maintenance, clinical or health-related decisions, financial reporting, legal compliance — the responsibility for the decision remains with the qualified human in your organisation. The agent drafts, logs, recommends and escalates. It does not assume that accountability, and nothing in our deliverables should be read as doing so.
8.3 Third-party models change. Model providers deprecate models, alter behaviour and change prices without notice to us. Agents can drift as a result. The AgentOps retainer exists to catch and fix this; without a retainer, we are not responsible for changes in the agent's behaviour caused by changes at a third-party provider after go-live.
8.4 Prohibited uses. We will not build, and you agree not to repurpose our deliverables for, agents that make unsupervised decisions about a person's employment, credit, housing, insurance, health treatment, legal status or physical safety; that conduct surveillance of individuals beyond what your operations lawfully require; or that are designed to deceive the people they interact with about whether they are talking to a machine.
9. Termination
9.1 Audit. You may cancel a booked audit without charge up to 5 working days before the start date. After that the fee is payable.
9.2 Retainer. Either party may end the retainer on 30 days' written notice. Fees are payable up to the end of the notice period. We do not require minimum terms.
9.3 Build. See 5.3. We may terminate a build if you fail to provide agreed access or payment for more than 30 days after written notice, in which case 5.3 applies as if you had stopped it.
9.4 For cause. Either party may terminate any engagement immediately if the other materially breaches these terms and does not fix it within 14 days of written notice, becomes insolvent, or acts in a way that would bring the other into disrepute.
9.5 Wind-down and handover. However an engagement ends, we will within 30 days: transfer any credentials, repositories or accounts we still hold; deliver current documentation; provide up to 4 hours of handover to your team or your new provider at no charge; and delete our copies of your data in line with the Privacy policy. You will pay any fees due for work completed. Sections 6, 8, 10, 11, 12 and 14 survive termination.
10. Confidentiality
Each party keeps the other's non-public information confidential, uses it only for the engagement, and shares it only with people who need it and are bound by equivalent obligations. This does not cover information that is already public, independently developed, or required to be disclosed by law (with notice to the other party where lawful). The obligation lasts for 5 years after the engagement ends, and indefinitely for trade secrets and personal data.
11. Warranties and remedies
11.1 We warrant that the work will be performed with reasonable skill and care by suitably qualified engineers, and that the deliverables will materially meet the acceptance criteria in the quote at the time of go-live sign-off.
11.2 If a deliverable fails to meet its acceptance criteria within 30 days of go-live, tell us and we will fix it at no charge. This is your sole remedy for that failure, other than the rights in section 9.
11.3 Except as stated in this section, the deliverables are provided as-is. We do not warrant that an agent will be error-free, uninterrupted, or produce any particular business outcome, including the savings projected in the audit or the ROI calculator.
11.4 We warrant that the deliverables, excluding your materials and third-party components, will not knowingly infringe anyone's intellectual property. If a claim is made, we will at our cost defend it and either modify the deliverable to be non-infringing or refund the fees paid for the infringing part.
12. Liability
12.1 Cap. Each party's total liability to the other under or in connection with an engagement, whether in contract, tort or otherwise, is limited to the total fees paid by you to us in the 12 months before the event giving rise to the claim.
12.2 Excluded losses. Neither party is liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss, even if foreseeable.
12.3 What the cap does not cover. The cap and exclusions do not apply to: death or personal injury caused by negligence; fraud; breach of section 10 (confidentiality); the indemnities in 11.4 and 12.4; or any liability that cannot be limited by law.
12.4 Your indemnity. You indemnify us against claims arising from your materials, your instructions, your use of the deliverables in breach of section 8, or your failure to hold the lawful basis and provide the notices required under section 7.
12.5 Where we have done our job. We are not liable for outcomes of an agent action where the agent operated within the acceptance criteria you signed off, escalated as designed, and the loss arose from a human decision in your organisation, from data you supplied, or from a third-party provider change after go-live that a retainer would have addressed and you did not hold one.
13. Non-solicitation
During an engagement and for 12 months after, neither party will directly or indirectly solicit for employment any employee or contractor of the other who worked on the engagement, without the other's written consent. General job advertisements are not solicitation. If you want to hire one of our engineers, ask — we have a page for that at Hire AI engineers.
14. Governing law and disputes
14.1 These terms and every engagement are governed by the laws of the Republic of Indonesia.
14.2 If a dispute arises, the parties first try to resolve it through good-faith discussion between senior representatives for 30 days.
14.3 Any dispute not resolved that way is finally settled by arbitration under the rules of Badan Arbitrase Nasional Indonesia (BANI), seated in Jakarta, before a single arbitrator, in the English language. The award is final and binding. Nothing prevents either party seeking urgent injunctive relief from a court.
14.4 Language. These terms are published in English. Where Indonesian law requires an agreement with an Indonesian party to be executed in Bahasa Indonesia, we will provide a Bahasa Indonesia version of the signed quote and these terms on request; in the event of inconsistency the English version prevails to the extent permitted by law.
15. General
15.1 Entire agreement. These terms plus the signed quote are the whole agreement for an engagement and replace any earlier discussions.
15.2 Changes to these terms. We may update these terms for future engagements by publishing a new version here. An engagement already underway continues on the terms in force when it started, unless you agree otherwise in writing.
15.3 Force majeure. Neither party is liable for delay caused by events outside its reasonable control, provided it tells the other promptly and does what it reasonably can to reduce the impact. Third-party provider outages lasting more than 48 hours count.
15.4 Assignment. Neither party may assign an engagement without the other's consent, except to a successor of its whole business who agrees to be bound.
15.5 Independent contractors. We are not your employee, partner or agent, and our engineers remain our responsibility.
15.6 Notices are given by email to the addresses in the quote (ours: info@deitylabs.ai) and are deemed received on the next business day.
15.7 Severability. If any part of these terms is unenforceable, the rest still applies.
15.8 No waiver. Not enforcing a right once does not waive it.
